General Counsel

ARTstor is seeking a General Counsel and Secretary. Reporting to ARTstor's President and Board, the General Counsel and Secretary is responsible for overseeing all legal affairs of the organization by 1) advising the President, Board, and staff on all legal issues impacting the organization; 2) overseeing the strategic framework for the legal affairs of the organization, as well as for the services that ARTstor provides to the communities it serves; 3) managing all legal matters, including contracts, nonprofit tax and employment issues, and regulatory and compliance matters; and 4) managing the legal team.

ARTstor (artstor.org) is a nonprofit organization that makes available a digital library of more than 1.5 million images designed to enhance education and scholarship in the arts, architecture, the humanities, and sciences. The ARTstor Digital Library currently serves more than 1,400 educational institutions and museums worldwide. ARTstor also makes available Shared Shelf (sharedshelf.org), a Web-based cataloging and image management software service that allows institutions to catalog, edit, store, and share local collections.

The General Counsel and Secretary's main duties include:

  • Developing or refining the legal framework for the services that ARTstor provides to the educational and cultural communities it serves;
  • Advocacy within the communities in which ARTstor works and with others relating to the educational use of images and other media;
  • Regularly advising the President, the Board, and other staff on all legal matters for the organization;
  • Working closely with senior management team to oversee all legal and strategic directions, policies and operations for the organization;
  • Overseeing the development and/or refinement of all legal policies, trademark and copyright policies, model licensing and other agreements, and due diligence policies for the organization;
  • Drafting and/or reviewing and approving all legal documents for the organization, including license agreements, partnership agreements, grant agreements, employment agreements, and other legal documents, as well as other materials and or programs with legal components, including the ARTstor website and external materials, such as press releases;
  • Overseeing all regulatory matters impacting the organization, and compliance with applicable laws and regulations;
  • Overseeing and advising the organization and Board on all non-profit corporate governance issues for the organization;
  • Overseeing all legal components of grants, and employment and human resources issues;
  • Managing legal team at ARTstor as well as relationships with outside counsel;
  • Reviewing and helping to develop all board materials; and
  • Attending all board and board committee meetings and recording official minutes of these meetings.

Requirements:

  • JD from accredited law school, and minimum 8 years legal experience, with experience in-house at a non-profit organization strongly preferred;
  • Strong transactional skills, with significant experience in copyright and licensing;
  • Background in the cultural or educational sectors strongly preferred;
  • Knowledge of non-profit tax and regulatory requirements strongly preferred;
  • A proven track record of working in a fast-paced, highly collaborative, entrepreneurial environment;
  • Must be a good problem solver, and have a desire to achieve business results while managing legal risks in a very fast paced, rapidly changing environment;
  • Excellent negotiating skills, as well as verbal and written communication skills;
  • Ability to communicate with diverse audiences, both internally and externally.
